Most commercial trouble that reaches a chamber began as a document nobody read closely. A supply agreement with no forum clause, a partnership with no exit terms, a guarantee signed as a favour. The cheapest legal work a business ever buys is the review it does before signing.

Contracts

Drafting and review of supply, distribution, service, employment, franchise, licensing and lease agreements. Particular attention to the clauses that decide what happens when things go wrong — termination, indemnity, limitation of liability, jurisdiction and dispute resolution — because those are the ones that are read later.

Company and partnership formalities

Incorporation and LLP formation, partnership deeds and their variation, shareholders' agreements, resolutions and record-keeping under the Companies Act, 2013, and the documentation attached to admission or retirement of a partner.

Commercial disputes

Recovery of dues, breach of contract, disputes between partners or shareholders, and arbitration where the contract provides for it under the Arbitration and Conciliation Act, 1996. Where the amount and subject matter qualify, the Commercial Courts Act, 2015 applies and pre-institution mediation may be a required step before filing.

Banking, finance and recovery

Matters under the SARFAESI Act, 2002 including applications before the Debts Recovery Tribunal, proceedings arising from loan defaults and guarantees, and cheque-bounce recovery under Section 138 of the Negotiable Instruments Act — the criminal side of which is dealt with on the criminal defence page.

Insolvency

Advice on proceedings under the Insolvency and Bankruptcy Code, 2016, both for operational creditors seeking to initiate and for those responding to a demand notice. The timelines under the Code are short and unforgiving, so an early view matters.

Regulatory notices

Replies to notices from statutory authorities, licence and registration matters, and, where an administrative decision is arbitrary or unreasoned, a writ petition before the Calcutta High Court.

Intellectual property

Trade mark filing and opposition, copyright matters, and action against infringement and passing off.

From your first call to the hearing

Understand the business

What the company does, who it contracts with and where the exposure actually sits — which is often not where the client expects.

Review or draft

Existing documents are read and the gaps identified; new documents are drafted for the situation rather than from a template.

Notice and negotiation

Most commercial disputes are better resolved before filing. A properly drafted notice does a good deal of that work.

Forum

Arbitration, commercial court, DRT, NCLT or writ — chosen for the matter, with limitation and any pre-institution requirement checked first.

Corporate & Commercial across Kolkata

The chamber is at Raja Bazar, and matters are heard across the city's courts. Very little of the work happens there. We measure, fit and deliver at the client's own home or office — Raja Bazar, Park Circus, Ballygunge, Jadavpur, Bidhannagar (Salt Lake), Sealdah, Entally, Beniapukur, Topsia, Tangra, Bowbazar, Esplanade, Alipore, Bhowanipore, Kasba and Howrah. Salt Lake, New Town and Rajarhat are regular runs for us, and there is no travel charge and no minimum order for a visit.

Corporate & Commercial in Kolkata — your questions

Both. Review before signing is considerably cheaper than litigation afterwards, and a good share of this work is drafting and reviewing rather than appearing.

Depending on the documents: a summary suit under Order XXXVII, arbitration if the contract provides for it, a complaint under Section 138 if a cheque has been dishonoured, or a demand notice under the Insolvency and Bankruptcy Code where the debtor is a company. Which is available depends on what you signed, so bring the paperwork.

An application before the Debts Recovery Tribunal may be available, and there are strict timelines attached to it. Bring the notice and the loan documents as soon as they arrive — the options narrow quickly.

Where the Commercial Courts Act, 2015 applies and no urgent interim relief is sought, pre-institution mediation is a required step. Whether your matter falls within it depends on the subject and the value of the claim.
